IntervueBox (hereinafter referred to as “Company,” “we,” or “us”) owns and operates the website https://intervuebox.ai and https://grow.intervuebox.ai (the “Platform” or “Website”). By accessing or using the Platform to avail of our video interviewing, candidate assessment, or related services (collectively, the “Services”), you (the “User,” “you,” or “your”) agree to be bound by these Terms & Conditions (“Terms” or “Terms & Conditions”). These Terms apply in addition to our Privacy Policy, which can be found on our Website. IF YOU DO NOT AGREE WITH ANY PROVISION OF THESE TERMS, YOU MUST NOT USE OR ACCESS THE PLATFORM OR OUR SERVICES.
1. Definitions 1.1 User(s) Any individual, company, organization, or entity that visits, registers, or otherwise uses the Platform. This may include Employers/Clients, Interviewers, Candidates, or any other third party. 1.2 Employer/Client Any User (person, company, or other entity) registered on our Platform to hire or find interviewers and/or conduct interviews through our Platform. 1.3 Interviewer Any User registered on our Platform to offer interviewing or assessment services to Employers/Clients. 1.4 Candidate Any individual who undergoes an interview, assessment, or related screening through the Platform at the request or direction of an Employer/Client. 1.5 Services All functionality, products, software, and applications (including mobile apps) provided by IntervueBox via our Platform. This includes video interviewing, scheduling, analytics, or any ancillary services we may offer.
2. Acceptance & Applicability 2.1 These Terms constitute a binding agreement between you and the Company. By visiting or using our Platform in any manner, you agree to comply with and be bound by these Terms, which together with our Privacy Policy, govern our relationship with you in relation to the Platform. 2.2 We may modify these Terms from time to time. Any updates will become effective immediately upon posting on our Website. You are encouraged to periodically review these Terms. Your continued use of the Platform following changes to the Terms constitutes acceptance of the updated Terms.
3. Eligibility 3.1 By using the Platform, you affirm that you are at least 18 years of age and can form legally binding contracts under applicable law. 3.2 If you use our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and in such an event, "you" and "your" will refer to that organization.
4. User Categories & Obligations 4.1 Employer/Client Obligations Non-Agency: You shall not represent yourself as an agent or representative of IntervueBox, nor make any statements or warranties that could bind IntervueBox, unless explicitly authorized in writing. No Direct Solicitation: You agree not to bypass the Platform by communicating or contracting directly with any Interviewer introduced via IntervueBox for the same project or hiring need, without express written consent from IntervueBox. Data Compliance: You represent that any Candidate data you upload, share, or process through the Platform complies with applicable privacy laws and that you have obtained all legally required consents from such Candidates. Intellectual Property: You shall not violate the intellectual property rights (including trademarks, patents, and copyrights) of the Company or any third party. Content Responsibility: You are solely responsible for all job postings, company descriptions, or related content you provide via our Platform. You represent and warrant that such content is not unlawful, defamatory, obscene, discriminatory, or otherwise contrary to applicable laws. 4.2 Interviewer Obligations Non-Agency: You shall not present yourself as an agent, employee, or representative of IntervueBox for any purpose unless expressly authorized in writing. No Direct Solicitation: You agree not to solicit or engage directly with an Employer/Client regarding services introduced via IntervueBox, bypassing the Platform. Confidentiality: You may gain access to certain confidential information related to the Employer/Client or Candidate during interviews. You agree not to disclose or use any such information beyond the scope of the provided Services. Data Protection: Any Candidate data provided to you is confidential. You shall handle, store, and process such data in compliance with applicable data protection laws and only for the purpose of conducting the agreed interviews. Professional Conduct: You agree to conduct interviews responsibly, ethically, and without bias or conflict of interest. You will not accept any direct payments, gifts, or incentives from Candidates. Non-Recording Provision: You agree not to record interviews using external devices or software unless specifically allowed in writing by IntervueBox or the Employer (as applicable). 4.3 Candidate Obligations No Bypassing: You shall not attempt to contact Interviewers directly, bypassing the Platform’s processes. Professional Conduct: You agree to abide by all relevant interview etiquette, including not engaging in dishonesty, cheating, impersonation, or the use of proxies. Intellectual Property: You shall not violate any intellectual property rights of the Company, Employers, or other third parties. Recording Disclosure: Interviews may be recorded for feedback, verification, or quality control. By participating, you consent to such recordings, which may be shared with employers. Data Accuracy: You represent and warrant that the information you provide (CV, credentials, etc.) is accurate to the best of your knowledge.
5. Payment Terms 5.1 Employer/Client Payment Terms You agree to pay any applicable fees or charges for the Services within the time frame specified in the invoice or as agreed upon with IntervueBox. Late payments may incur interest as specified on the invoice or at a rate permissible by law, along with any costs incurred in recovering the overdue amounts (including attorneys’ fees). Disputes regarding any invoice shall not entitle you to withhold payment for undisputed portions. 5.2 Interviewer Payment Terms You may be entitled to fees for completed interviews or other services you perform through the Platform as agreed with IntervueBox. Payment is contingent upon completion of required deliverables (e.g., submission of Candidate Assessment Report) within the specified timelines. All fees payable to you are subject to any applicable taxes (including withholding taxes). IntervueBox reserves the right to deduct or withhold such amounts as required by law.
6. Exclusivity 6.1 All communications regarding interviews or services arranged through the Platform must remain on the Platform or via official channels provided by IntervueBox (e.g., email, chat). 6.2 You agree not to enter into any direct contractual or fee-based arrangement with another User of the Platform introduced to you by IntervueBox, regarding the same services, without prior written consent from IntervueBox.
7. Suspension & Termination 7.1 Right to Suspend or Terminate IntervueBox may suspend or terminate your access to the Platform (in whole or in part) at any time, without liability, if you breach these Terms or if we believe that your conduct may harm the Platform or other Users. 7.2 Termination by You You may terminate your account by giving written notice to IntervueBox. Upon termination, you shall cease all use of the Platform, and any outstanding payment obligations shall remain due. 7.3 Survival Any provisions relating to confidentiality, intellectual property, indemnification, and limitation of liability shall survive the termination of these Terms.
8. Limitation of Liability 8.1 No Warranties We make no guarantees that the Platform or Services will be error-free, uninterrupted, or meet your specific requirements. All Services are provided on an “as is” and “as available” basis. 8.2 Indirect or Consequential Damages To the maximum extent permitted by law, IntervueBox will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data, or goodwill. 8.3 Cap on Liability To the extent permitted by law, our total liability for any claims arising out of or relating to these Terms shall be limited to the amount paid by you (if any) for the specific Service that gave rise to such claim during the 6 (six) months preceding the claim.
9. Indemnification You agree to defend, indemnify, and hold harmless IntervueBox, its affiliates, employees, directors, contractors, suppliers, and representatives from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to: Your use or misuse of the Platform or Services; Your breach of these Terms or any applicable laws or regulations; Any content you submit, post, or transmit through the Platform.
10. Governing Law & Dispute Resolution 10.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of India (or other applicable jurisdiction if stated in your local terms), without regard to conflict-of-law principles. 10.2 Jurisdiction Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India (unless otherwise required by local law). 10.3 Arbitration If any dispute remains unresolved after a 21-day notice period, such dispute shall be finally resolved by arbitration. A single arbitrator shall be appointed mutually by the parties under the Indian Arbitration and Conciliation Act, 1996. If the parties fail to agree, each shall appoint an arbitrator, and the two arbitrators so appointed shall appoint a third arbitrator to form a tribunal. The arbitration proceedings shall be conducted in English, with the seat at Ahmedabad, India, and the award shall be final and binding on all parties.
11. Intellectual Property All content, software, and other materials on the Platform (including trademarks, service marks, logos, etc.) are owned by or licensed to IntervueBox. You may not reproduce, distribute, or create derivative works without our prior written consent.
12. Rules of Conduct You shall not: Engage in unlawful, deceptive, or abusive conduct. Violate any third-party rights or post content that is defamatory, obscene, or infringes any intellectual property. Interfere with or disrupt the Platform’s security or functionality. Use the Platform to build a competing product or service. Attempt to decompile, reverse engineer, or otherwise access our source code.
13. Feedback & Ratings 13.1 User Feedback The Platform may allow Employers, Interviewers, and Candidates to rate or review each other. These ratings or reviews reflect the opinions of individual Users and not IntervueBox. We do not verify the truth or accuracy of any feedback or rating. 13.2 Content Liability IntervueBox shall not be liable for any defamatory, offensive, or illegal conduct of any User, and the risk of harm or damage from such conduct rests entirely with you.
14. Severability If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15. Notices All notices or other communications required or permitted to be given under these Terms shall be in writing and shall be considered given (a) upon delivery, if delivered personally or by a recognized express courier; (b) upon dispatch if sent by email and electronically confirmed; or (c) two (2) days after being mailed by certified mail, return receipt requested.
16. Amendment We reserve the right to amend these Terms at any time by posting updated terms on our Website. Your continued use of our Platform after any such changes become effective indicates your acceptance of the revised Terms.
17. No Agency No agency, partnership, joint venture, employment, or franchise relationship is intended or created by these Terms. Neither party has any authority to act as agent for or bind the other in any respect.
